Client Terms and Conditions

Services Provided

The Contractor will provide the Client with virtual and personal assistance services ("Services"), including tasks mutually agreed upon. The Services may encompass various tasks beyond the specified scope, as agreed upon by both parties.

Term of Agreement

The term of this Agreement ("Term") shall commence on a planned date and shall continue indefinitely until terminated according to the provisions of this Agreement.

Termination

Either party can terminate this Agreement by providing 48 hours written notice to the other party.

Performance

Both parties commit to fulfilling their obligations under this Agreement to ensure its effective execution.

Currency

Unless otherwise specified, all monetary amounts mentioned in this Agreement are in GBP (British Pounds).

Payment

The Contractor will bill the Client at an agreed rate ("Payment"). Additional hours can be purchased. Invoices will be issued weekly, and payment is due upon receipt. Late payments exceeding 7 days will incur a surcharge.

Confidentiality

Confidential Information refers to private or proprietary data or information related to the Client. The Contractor agrees not to disclose, reveal, or use Confidential Information for any purpose other than as authorized by the Client or required by law. These confidentiality obligations persist indefinitely after the termination of this Agreement.

Ownership of Intellectual Property

All Intellectual Property developed or produced during the execution of this Agreement shall belong solely to the Client. The Contractor shall not use Intellectual Property for any purpose beyond the scope of this Agreement without written consent from the Client.

Return of Property

Upon termination or expiry of this Agreement, the Contractor will return all property, documentation, records, or Confidential Information owned by the Client.

Capacity/Independent Contractor

The Contractor operates as an independent contractor, not as an employee, and acknowledges the absence of a partnership or joint venture between the parties.

Autonomy

The Contractor shall have control over working time and methods for delivering the Services, working autonomously while remaining responsive to the Client's needs.
